Please read these Terms of Service carefully before using haneystrategy.com (the “Site”), operated by Haney Strategy, LLC, a Tennessee single-member limited liability company (“Company,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these terms. If you do not agree, please do not use the Site.

1. Acceptance of Terms

Your access to and use of the Site constitutes your agreement to these Terms of Service and our Privacy Policy, which is incorporated herein by reference. We may revise these terms at any time by posting an updated version on this page. Your continued use of the Site after any such changes constitutes your acceptance of the revised terms.

2. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local law
• Transmit unsolicited commercial communications, spam, or any material that is harmful, offensive, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the Site or its related systems or networks
• Scrape, crawl, or systematically collect data from the Site without our prior written consent
• Reproduce, duplicate, copy, sell, or exploit any portion of the Site for commercial purposes without express written permission
• Introduce any virus, trojan horse, worm, or other malicious code to the Site or its infrastructure

We reserve the right to terminate or restrict your access to the Site at our sole discretion, without notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties.

3. Purchases, Payments, and Cancellations

Some services, including our Power-Up sessions, can be purchased directly on the Site. Prices are shown at checkout, and payment is processed by Stripe. Card details go directly to Stripe and never touch our servers.

The following applies to sessions purchased on the Site:

• Cancel 72 hours or more before your session and you receive a full refund, no questions asked
• Cancel inside 72 hours and your full payment credits toward a rescheduled session. One reschedule is included with every purchase
• You may substitute attendees before your session at no charge
• A missed session without notice forfeits the session fee
• If we need to cancel or reschedule, you choose between a new date and a full refund

Once a session has been delivered, fees are not refundable, because our time and the custom materials prepared for your team have already been applied. If a session missed the mark, tell us within seven days and we will make it right with a follow-up working session or a credit toward future work.

Consulting engagements, including Fractional CMTO seats, website rebuilds, and Claude enablement engagements, are governed by a separate written agreement and are not sold through the Site. Prices shown on the Site for those engagements are indicative of scope and are confirmed in that agreement.

4. Intellectual Property

The Site and all of its contents, including but not limited to text, graphics, logos, images, audio, video, software, and the selection and arrangement thereof, are the exclusive property of Haney Strategy, LLC or its content suppliers and are protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and view the Site and its contents for personal, non-commercial use only. No content on the Site may be reproduced, distributed, modified, displayed, performed, or used in any derivative work without our prior written consent.

All trademarks, service marks, and trade names used on the Site are the property of their respective owners. Nothing on the Site grants you any right or license to use any trademark, service mark, or trade name without the owner's prior written consent.

5. Disclaimers

Haney Strategy, LLC provides professional advice and services to its clients. Engagement for those services is governed by a separate written agreement, and nothing in these Terms limits or describes the advice provided under it. The information on this Site is separate from any such engagement. It is provided for general informational purposes only and does not constitute professional advice of any kind, including legal, financial, accounting, or consulting advice. Results generated by the AI Readiness Assessment are informational only, and by submitting a website for assessment you represent that you are authorized to request an analysis of it.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no representations about the accuracy, completeness, or suitability of any information on the Site. We are not responsible for errors or omissions in the content, or for any actions taken in reliance on such content.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HANEY STRATEGY, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ITS CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total liability to you for all claims arising out of or relating to the Site exceed the greater of one hundred dollars ($100) or the total amounts you paid us for services purchased on the Site in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Williamson County, Tennessee, and you hereby consent to such jurisdiction.

9. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. When we make changes, we will update the “Last updated” date at the top of this page. We encourage you to review these terms periodically. Changes take effect immediately upon posting. Your continued use of the Site after any modification constitutes your acceptance of the updated terms.
